Terms of Service

These terms are the agreement between you and Jeric Guillermo, trading as HelpLayer for using HelpLayer (helplayer.app): the website, the dashboard, the help centers it hosts, the browser extension, the desktop app and the API. Please read them; by using HelpLayer you agree to them.

1. Who we are

HelpLayer is run by Jeric Guillermo, trading as HelpLayer. In these terms “we” and “us” mean Jeric Guillermo; “you” means the person or the organization using HelpLayer. Your contract is with us, not with Paddle, which sells our plans for us (section 8). You can reach us at [email protected].

2. Accepting these terms

By creating an account or using HelpLayer, you agree to these terms. If you use it for an organization, you confirm you may agree to them for that organization. If you keep using HelpLayer after we change these terms (section 17), you agree to the new version.

3. Your account

  • Give us accurate details and keep your password safe. You're responsible for what happens in your account, including what the team members you invite do.
  • You must be old enough to enter into a contract where you live, and at least 16.
  • Tell us at [email protected] if you think someone else got into your account.

4. Your content

What you put into HelpLayer stays yours: articles, images, videos, recordings, screen captures, and what we read from the repositories and websites you connect (“your content”). You give us permission to store, process, copy and show it, only as needed to run HelpLayer for you: for example to host your help center, make videos, translate articles, and send your content to the AI services that write drafts and answers (see our Privacy Notice).

You confirm you have the rights to the content you add and to the repositories and websites you connect, and that it doesn't break the law or anyone else's rights.

5. AI features

HelpLayer uses AI to write and update articles, answer your readers' questions, describe steps, narrate videos and more. Please keep in mind:

  • AI can be wrong. What it writes may be inaccurate or incomplete. Review it before you publish it. You decide what goes live, and you're responsible for what you publish.
  • As between you and us, what the AI writes for you is yours, the same as your content.
  • Don't use the AI features to make anything unlawful, harmful, deceptive or infringing, or to try to get around their limits. We may remove content or limit features that break these terms.
  • AI answers to your readers only draw on your published articles, and they say when they don't know. They still aren't professional advice of any kind.

6. What you may not do

  • Use HelpLayer for anything unlawful, or to commit fraud or send spam.
  • Upload or publish content that infringes someone else's intellectual property or privacy.
  • Interfere with HelpLayer's security: spread malware, probe or test for vulnerabilities, or try to get into accounts or systems that aren't yours.
  • Scrape, copy or resell HelpLayer itself, or overload it on purpose.
  • Use HelpLayer to build a competing product by copying it.

7. Our service and our rights

HelpLayer, its software, design and name belong to us. Using it doesn't give you any rights to them beyond using the service under these terms. If you send us ideas or feedback, we may use them without owing you anything.

We work to keep HelpLayer running well, but we can't promise it will always be available, uninterrupted or free of errors. We may change, add or remove features; if a change takes away something you pay for, we'll tell you in advance.

8. Plans, payment and renewal

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries about payments and handles returns. When you buy a plan or AI credits, you also agree to Paddle's buyer terms.

  • Paid plans are subscriptions, billed monthly or yearly in advance. They renew automatically for the same period until you cancel.
  • You can cancel any time in Billing. Your plan stays until the end of the period you paid for, then your account moves to the Free plan.
  • Prices are in US dollars. Paddle adds sales tax or VAT where it applies.
  • If we change a plan's price, we'll tell you at least 30 days before it applies to you. Founding members keep their founding price for as long as their subscription runs.
  • Each plan includes AI credits a month. They renew on the 1st of each month and unused ones don't carry over. Credits you buy separately don't expire while your account exists.
  • Changing plans is prorated: you pay or get credit for the difference.

9. Refunds

You can ask for a refund within 14 days of any payment. Our Refund Policy explains how.

10. Free plan and limits

The Free plan and each paid plan have limits, shown on our pricing page. We may change the Free plan's limits with notice.

11. Suspension and termination

You can stop using HelpLayer and delete your account at any time. We may suspend or end your account, after notice where we reasonably can, if:

  • you seriously or repeatedly break these terms;
  • a payment fails and isn't settled after reminders;
  • your account puts the security of HelpLayer, of other customers or of the public at risk, or is used for fraud;
  • the law requires us to.

When an account ends, access to it and its help centers stops. We delete its content within 30 days, except what we must keep by law. Export what you want to keep before then; if we end an account without it being your fault, we'll give you time to export first and refund what you paid for the time left.

12. Disclaimer

Except where the law doesn't allow it, HelpLayer is provided “as is” and “as available”, without warranties of any kind, including fitness for a particular purpose. Nothing in these terms limits rights you have as a consumer that can't be limited.

13. Limitation of liability

As far as the law allows, we aren't liable for indirect or consequential losses, such as lost profits, revenue or data, and our total liability to you for any claim is limited to what you paid us in the 12 months before it. Nothing in these terms limits liability for fraud, or for death or injury caused by negligence.

14. Your responsibility to us

You agree to defend and compensate us against claims, losses and costs that come from your content, from what you publish with HelpLayer, or from your breaking these terms or the law.

15. Things outside our control

We aren't responsible for delays or failures caused by events beyond our reasonable control, such as outages of the internet or of the providers we rely on, natural disasters, war or government action.

16. Transferring this agreement

You may not transfer your rights or obligations under these terms without our written permission. We may transfer ours to someone who takes over HelpLayer, and we'll tell you if that happens.

17. Changes to these terms

We may update these terms. For important changes, we'll tell you by email or in the dashboard at least 30 days before they apply. The date at the top shows the latest version.

18. Law and disputes

These terms follow the laws of the Philippines. If something goes wrong, write to us first at [email protected]; most things are settled that way. If not, the courts of the Philippines decide, unless the law where you live as a consumer gives you the right to go to your local courts.
